Terms of Service
1. Agreement
These Terms of Service (“Terms”) govern access to and use of VisualPay’s crypto payment gateway, merchant panel, APIs, webhooks and related services (the “Service”). By creating an account, creating a merchant, calling the API or otherwise using the Service, you agree to these Terms and to our Terms of Use, Privacy Policy and AML Policy.
If you use the Service on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Service.
2. The Service
VisualPay lets websites, apps and Telegram bots accept cryptocurrency payments. You request a transaction in USD, receive payment details (including a destination address, amount and optional QR payload) and keep the buyer inside your own checkout. Confirmed payments can be reported to your backend by webhook and by status polling.
VisualPay is not a bank, exchange, custodian or licensed money transmitter in every jurisdiction. Settlement is designed to go to wallet addresses you declare for each coin and network. We never ask for your private keys and we do not become the owner of funds once they are settled to you.
3. Eligibility and accounts
You must be able to form a binding contract under the laws that apply to you. You are responsible for keeping login credentials, two-factor authentication devices and merchant API keys confidential. Enable two-factor authentication before creating a merchant, as required by the panel.
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and merchants.
4. Merchants, fees and billing
Registration and your first merchant may be offered free of charge. VisualPay charges a payment fee on each successful transaction, at the rate configured on the merchant. You choose whether that fee is added to the amount the buyer pays or taken from your settlement. There is no monthly subscription unless we expressly introduce one and you accept it.
Network (blockchain) fees, failed or expired transactions, and overpayments are handled as described in the panel and API. Fees and limits (including minimum payment and withdrawal thresholds, which are denominated in USD/USDT) may change; the values shown in your merchant settings and the currencies API are the ones that apply at the time of the request.
5. Transactions, rates and expiry
When a transaction is created, the USD amount is converted at that instant and the exact crypto amount is locked for the time-to-live window you set. Price movement after creation does not change the amount due. If the window ends without a qualifying payment, the transaction expires and nothing is charged. If the buyer sends more than required, the payment may still be accepted and recorded as an overpayment, in line with the product behaviour described in our documentation.
On-chain confirmation is final from VisualPay’s perspective. Crypto payments cannot be reversed or charged back through the Service. You are responsible for releasing goods or access only after you have verified the payment status yourself (webhook plus the status endpoint, as you choose).
6. Wallets and settlement
You must declare a valid wallet address for each coin and network you enable. Settlement runs automatically once your balance reaches the applicable threshold. You are solely responsible for the accuracy of those addresses. VisualPay is not liable for funds sent to an address you provided in error, to an incompatible network, or to a wallet you no longer control.
7. API, webhooks and security
Every merchant API call must use your private merchant API key over HTTPS. You must only register HTTPS webhook endpoints you control. You must treat keys as secrets, rotate them if they leak, and rate-limit your own integration as needed. You may not probe, overload or circumvent the API, authentication or rate limits.
8. No KYC and your compliance
VisualPay does not require identity verification, document upload or a manual approval queue to create an account or a merchant. That does not mean the Service is lawful everywhere, or that you may ignore the laws that apply to your business and your customers. You are responsible for determining whether you need licences, tax registrations, consumer disclosures or other local compliance before you go live.
9. Prohibited use
You may not use the Service for illegal activity, fraud, sanctions evasion, mixing/tumbling designed to hide the source of funds, unlicensed money transmission, or any activity listed in our AML Policy. We may suspend merchants, freeze settlement or close accounts where we reasonably believe these Terms or the AML Policy have been breached.
10. Intellectual property
VisualPay, the site, panel, documentation and related marks are owned by us or our licensors. We grant you a limited, non-exclusive, revocable licence to use the Service as offered. You may not copy, resell, scrape or reverse engineer the Service except as allowed by law.
11. Disclaimers
The Service is provided “as is” and “as available”. Blockchain networks, RPC providers, price feeds and third-party infrastructure can fail, delay or fork. We do not warrant uninterrupted uptime, error-free conversion, or that a given coin or network will remain available. Nothing on the site is legal, tax or investment advice.
12. Limitation of liability
To the maximum extent permitted by law, VisualPay and its operators are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption, arising from the Service. Our total liability for any claim relating to the Service is limited to the fees you actually paid to VisualPay for the merchant and period giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater.
13. Indemnity
You will indemnify and hold VisualPay harmless from claims, losses and costs (including reasonable legal fees) arising from your use of the Service, your merchants, your checkout, your customers, or your breach of these Terms or applicable law.
14. Changes and termination
We may change these Terms, fees, supported coins or features with notice on the site or by email. Continued use after the effective date is acceptance. We may suspend or terminate the Service or your account for breach, legal risk, or operational reasons. You may stop using the Service at any time.
